Terms and Conditions of Sale
Preamble
These Terms and Conditions of Sale (“Terms”) are entered into between:
Sleeping Church Records, a non-profit association governed by French law (Law of 1901), registered under SIREN number 821 149 820 and RNA number W723007213, whose registered office is located at 27 Rue Gambetta, 72220 Saint-Mars-d’Outillé, France, represented by Mr. Mathieu Fontaine, acting as President, duly authorized for the purposes hereof.

Article 1 – Purpose and General Provisions
These Terms define the rights and obligations of the parties in connection with the online sale of products offered by the Seller on its website (www.sleepingchurchrds.com)
These Terms apply to all sales of products made through the Association’s website and form an integral part of the contract between the Buyer and the Seller.
The Seller reserves the right to amend these Terms at any time by publishing a new version on its website. The Terms applicable are those in force on the date of payment (or the first payment, in the case of multiple payments) of the order.
The Buyer declares that they have read and accepted all of these Terms, as well as any special conditions related to a product or service, without reservation.
By confirming the order, the Buyer acknowledges having received all necessary information and advice to ensure that the offer meets their needs, and declares being legally capable of entering into a contract under French law, or duly authorized to do so on behalf of the entity they represent.
Unless proven otherwise, the information recorded by the Seller constitutes proof of all transactions.
Article 2 – Prices
Product prices are indicated in euros (€), excluding tax, and are clearly displayed on each product page. Prices are also shown in euros including all applicable taxes (VAT and others) on the order summary page, excluding specific shipping fees.
For shipments outside the European Union or French overseas territories, prices are automatically calculated exclusive of tax on the invoice.
Additional duties, customs fees, or local taxes may apply and are the sole responsibility of the Buyer. The Seller is not responsible for these costs and advises Buyers to check with their local authorities before placing an order.
The Association reserves the right to modify its prices at any time in the future.
Costs related to internet access or telecommunication services required to use the website are the Buyer’s responsibility, as are shipping costs when applicable.
Article 3 – Online Order Process
To place an order, the Customer must follow the steps outlined on the Seller’s website. In all cases, the order process includes the following stages:

Review of the essential characteristics of the chosen product;

Selection of the product (and any options) and entry of required Customer details (name, address, etc.);

Acceptance of these Terms;

Review and verification of the order summary and correction of any errors;

Payment according to the indicated method;

Receipt of an order confirmation email and proof of payment.
A PDF copy of these Terms will also be sent by email.
Products are delivered to the address indicated by the Customer at the time of ordering. The Customer undertakes to provide accurate identification details in accordance with French Civil Code Article 1316-1.
The Seller reserves the right to refuse any order deemed abnormal, made in bad faith, or for any legitimate reason.
Article 4 – Products and Services
The essential characteristics of the goods and services, along with their respective prices, are presented on the Seller’s website.
The Buyer acknowledges having received detailed information about delivery costs, payment methods, and the terms of performance of the contract before placing an order.
The Seller undertakes to honor orders received only within the limits of available stock. If an item is unavailable, the Seller will inform the Buyer as soon as possible.
All contractual information is provided in French and summarized for confirmation at the time of order validation. Illustrations and photos of products are for reference only and are not contractually binding.
The duration of the offer and the applicable prices are clearly specified on the Seller’s website. In the case of ongoing or subscription-based supplies, the minimum duration of the contract is also indicated.
Unless stated otherwise, the rights granted under this contract are limited to the individual who placed the order (or the email address provided).
In accordance with French law concerning conformity and hidden defects, the Seller will refund or exchange any defective products or products that do not match the order.

Article 5 – Retention of Ownership
The products remain the property of the Association until full payment of the purchase price has been received.
Article 6 – Delivery Terms
Products are delivered to the delivery address provided at the time of order and within the indicated timeframe. Preparation time is not included in the estimated delivery time.
When delivery requires scheduling an appointment, the date will be arranged between both parties. If the Customer orders several products at once, the overall delivery time will correspond to the longest item’s delivery estimate, unless the Customer specifically requests separate shipments (in which case all additional shipping fees will be borne by the Customer).
In the event of a shipping delay, the Buyer will be notified by email. No compensation or late-delivery penalty may be claimed.
In accordance with Articles L138-2 and L138-3 of the French Consumer Code, the Customer may cancel the order if delivery has not occurred within the confirmed timeframe. The Seller will then refund the price of the product and the initial shipping costs.
A contact number (at the cost of a local call) is provided in the order confirmation email for delivery tracking.
Once the Customer takes physical possession of the products, all risks of loss or damage transfer to them. The Customer is responsible for reporting any issues or damage to the carrier upon receipt.
Article 7 – Availability and Presentation
Orders are processed within the limits of available stock or subject to stock availability from suppliers.
If an item becomes unavailable for more than 30 business days, the Buyer will be informed of the estimated delivery time and may cancel the order upon request. The Buyer may then choose either a store credit for the value of the item or a full refund.
Article 8 – Payment
Payment is due immediately upon ordering, including for pre-ordered products. The Customer may pay by credit or debit card, bank transfer, or PayPal.
Cards issued by banks located outside France must be international bank cards (Visa or Mastercard).
Secure online payment by credit card is processed through our payment provider. The transmitted information is encrypted using SSL and cannot be intercepted during transfer.
Once payment is initiated by the Customer, the transaction is immediately charged after verification.
In accordance with Article L.132-2 of the French Monetary and Financial Code, the commitment to pay by card is irrevocable. By providing banking information during checkout, the Customer authorizes the Seller to debit the card for the total amount of the order.
The Customer confirms that they are the legal holder of the payment card and authorized to use it.
In case of error or inability to charge the card, the sale is automatically cancelled, and the order will not be processed.
Article 9 – Right of Withdrawal
In accordance with Article L.121-20 of the French Consumer Code, the Customer has a 14-day withdrawal period to exercise their right to cancel an order, without having to provide justification or pay penalties, except for return shipping costs.
The withdrawal period starts from the date the goods are received (or from the date of acceptance for service contracts).
To exercise this right, the Customer must contact the Association by email at sleepingchurchrecords@gmail.com to initiate the process.
Please note that, in accordance with Article L.121-20-2 of the Consumer Code, this right of withdrawal does not apply to discounted or promotional items.
If the right of withdrawal is exercised within the legal timeframe, the Seller will refund the purchase price and initial shipping costs, but return costs remain the Customer’s responsibility.
Returned items must be in their original condition, complete (including packaging, accessories, and instructions), and suitable for resale.
If possible, the return should include a copy of the purchase receipt.

Refunds will be issued using the same payment method used for the purchase, minus applicable shipping or handling fees borne by the Seller.
Article 10 – Warranties
In accordance with French law, the Seller provides two legal warranties:

The warranty of conformity, and
-
The warranty against hidden defects.
The Seller will refund or exchange any products that are defective or do not conform to the order.
To request a refund, the Buyer must first contact the Association by email at sleepingchurchrecords@gmail.com to initiate the process.
The Buyer is reminded that, under French law:

They have a period of two years from delivery to take action with the Seller;

They may choose between repair or replacement of the product, subject to the conditions defined by law;

They are exempt from proving the existence of the defect for the first six months following delivery (extended to 24 months for new goods since March 18, 2016);

They may also invoke the warranty for hidden defects under Article 1641 of the French Civil Code and, in such cases, choose between cancellation of the sale or a reduction in the price (Article 1644 of the Civil Code).

Article 12 – Intellectual Property Rights
All trademarks, domain names, products, software, images, videos, texts, or more generally any intellectual property contained on the website remain the exclusive property of the Seller.
No transfer of intellectual property rights is made through these Terms.
Any total or partial reproduction, modification, or use of these elements for any purpose whatsoever is strictly prohibited without prior written consent from the Seller.
Article 13 – Force Majeure
The Seller’s obligations under these Terms will be suspended in the event of force majeure or unforeseen circumstances preventing their fulfilment.
The Seller shall notify the Customer of the occurrence of such an event as soon as reasonably possible.
Article 14 – Contract Modification and Severability
If any provision of this contract is declared invalid or unenforceable, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
Any modification to this contract will only be valid if agreed upon in writing and signed by both parties.
Article 15 – Personal Data Protection
In accordance with the French Data Protection Act of January 6, 1978, the Customer has the right to access, modify, correct, or delete personal data concerning them.
By agreeing to these Terms and Conditions of Sale, the Customer consents to the collection and use of their personal data for the purposes of fulfilling the contract.
By providing their email address on the website, the Customer may receive emails containing information and promotional offers from the Association or its partners.
The Customer may unsubscribe at any time by clicking the unsubscribe link in the emails or by contacting the Association by registered mail.
The Seller also tracks website traffic statistics to improve its services.
Article 16 – Applicable Law
All provisions contained in these Terms and Conditions of Sale, as well as all purchase and sale transactions referred to herein, are governed by French law.
